M. / Munich — The Munich, Frankfurt and New York offices of the international law firm Weil, Gotshal & Manges LLP have advised ChargePoint Holdings, Inc. on the acquisition of has-to-be GmbH. The purchase price is approximately EUR 250 million (subject to adjustments) and will be paid in both cash and shares. The closing of the transaction is subject to regulatory approval and customary closing conditions.
has-to-be GmbH is a leading provider of electromobility software in Europe, headquartered in Austria, in which Volkswagen was also invested alongside private shareholders.
ChargePoint Holdings, Inc. headquartered in Campbell, California, operates the world’s largest network of electric vehicle charging stations with a wide range of services in North America and Europe.
After merging with Switchback Energy Acquisition Corporation, a SPAC (Special Purpose Acquisition Company) focused on companies in the energy value chain, ChargePoint is the world’s first EV charging infrastructure network to become publicly traded with a listing on the NYSE in March 2021.
