Dortmund/ Cologne — With a team led by Dr. Oliver Böttcher and Kristina Schneider from the Cologne office, Heuking Kühn Lüer Wojtek advised Compleo Charging Solutions AG on a merger with wallbe AG. The closing of the transaction and the combination of Compleo’s and wallbe’s operations are expected to take place before the end of April. The merger of the companies, whose products and services complement each other, is expected to create a major provider of charging solutions in Europe. With the merger, Compleo and wallbe strengthen their leading position on the German market and in Europe.
Compleo will acquire 100 percent of the shares in wallbe in return for payment of approximately one-third in Compleo shares, and approximately two-thirds in cash from existing liquidity. The two previous and largest owners of wallbe, enercity AG (around 50 percent) and Weidmüller Mobility Concepts GmbH & Co. KG (around 26 percent), as well as Dr. Dominik Freund, will remain involved in Compleo as new shareholders.
Compleo is a leading provider of charging solutions for electric vehicles. In doing so, the company supports complete solution providers with its charging stations and, if required, also with the planning, installation, maintenance, service or backend of the charging infrastructure. Compleo’s offering includes both AC and DC charging stations. DC charging stations from Compleo are the first DC charging stations on the market that comply with calibration regulations. The company develops and manufactures all products at its Dortmund site. In doing so, the manufacturer focuses on innovation, safety, consumer-friendliness and cost-effectiveness. Compleo started production of the first charging stations in 2009. The fast-growing company is headquartered in Dortmund and currently employs over 260 people. Since October 2020, Compleo has been listed in the Prime Standard segment of the Frankfurt Stock Exchange (ISIN: DE000A2QDNX9).
The Böttcher/Schneider team already advised the current majority shareholder and part of the management on the acquisition of the stake in the then EBG compleo GmbH at the end of 2019. In the context of the current merger, Compleo’s advice included full advice on the acquisition, due diligence, contract documentation, including the exchange of shares carried out, up to the closing.
