Berlin — A Berlin team of Deloitte Legal led by Dr. Julia Petersen (Partner) advised capiton V GmbH & Co Beteiligungs KG on the sale of Raith GmbH and AEMtec GmbH and their subsidiaries to the newly established “capiton Quantum” fund.
Raith and AEMtec are leading companies in the field of industrial technology. Under capiton’s ownership, both companies have focused on capacity expansion, internationalization and improving their technology offering in recent years. Together with the respective management teams, who will remain on board after the transaction, a strategy of organic growth and additional acquisitions will continue to be pursued.
Christoph Karbenk, Managing Partner at capiton (Photo © Capiton): “On behalf of the entire capiton team, I would like to thank the group of investors who supported us in this transaction, as well as the management teams who have done an outstanding job to date. We are very excited to continue this successful partnership and take both companies to the next level. The trans- action generates strong returns for our existing capiton V LPs, who have been left free to either generate liquidity or participate in the next chapter of both companies.”
In the context of the transaction, the Deloitte Legal team was responsible in particular for the preparation of a comprehensive legal factbook as well as the execution of the multinational legal due diligence regarding the companies of the Raith and AEMtec Group. Under the leadership of Deloitte Legal, legal advisors from China, the USA and the Netherlands were involved in the due diligence. The financial due diligence was performed by Deloitte Financial Advisory.
