Düsseldorf — A Deloitte Legal team led by Düsseldorf-based corporate/M&A lawyers Michael von Rüden (Partner)and Thilo Hoffmann (Counsel, both lead) advised HM3T GmbH and its shareholders on the sale of Dresden-based telematics company YellowFox GmbH to a private equity fund managed by ECM.
As part of the transaction, the management and the previous shareholders of YellowFox were integrated into the acquiring company in a way that was essential for all parties involved.
Together, the partners aim to further drive YellowFox’s growth, particularly in the area of modular, cloud-based SaaS software solutions for digital fleet and property management, telematics solutions and other product innovations, acquire new customers and expand sales partnerships.
In the implementation of the project, the Deloitte Legal team was able to draw on the expertise gained in the course of accompanying a large number of transactions in the IT and tech environment, thus contributing to a successful course of the project for all parties involved.
The close cooperation with colleagues from BSKP and Deloitte Tax as well as the Berlin M&A advisor CARL enabled comprehensive interdisciplinary advice on all commercial, legal and tax aspects essential to the transaction.
