Carve-out: Kairos Industries buys DELFINGEN DE-Münchberg
Stuttgart — Leading French automotive supplier Delfingen has sold its Technical Belts & Straps Division, DELFINGEN DE-Münchberg GmbH to Kairos Industries in a carve-out. The audit and consulting firm Ebner Stolz advised the seller Delfingen on this transaction.
DELFINGEN DE-Münchberg GmbH is an innovative manufacturer of technical textiles from Münchberg (Bavaria). The product portfolio of the company from Upper Franconia includes numerous narrow fabrics, especially technical belts and tapes, which the company offers in various industries. Since the transaction, the company has been operating under the old and familiar name ‘MBG Techbelt Innovation GmbH’ (MBG). The aim is to continue and further develop the manufacturer of technical belts and straps as an independent company.
The buyer is Kairos Industries AG, an industrial holding company from Berlin that specializes in acquiring companies in special situations and wants to develop the traditional company in the long term. Kairos’ legal advisor was HEUSSEN Rechtsanwaltsgesellschaft mbH.
With the acquisition of the Schlemmer Group’s European and African business last year, the Delfingen Group strengthened its core business and the integration of the acquisition came to the fore. The focus consolidates Delfingen’s position as a specialist for insulation of liquid-carrying and electrical systems in the engine compartment of vehicles.
DELFINGEN DE-Münchberg was sold as part of a carve-out process. The current management will remain with the company in an advisory capacity for a transitional period in order to ensure the handover of business operations. Both parties have agreed not to disclose details of the transaction.
Ebner Stolz accompanied the entire M&A process from investor search and transaction preparation to market approach and investor talks. Delfingen was advised by Taylor Wessing on the final purchase agreement negotiations and related agreements.
