Munich — Bird & Bird LLP has advised KORIAN Deutschland AG on the acquisition of the care division of Qualivita AG.
With the handover of the care business of QualiVita AG to KORIAN, the founder Jana Schulz wants to provide her company with a strong and sustainable partner. Starting with the opening of the first home in Ilsede in 2001, the company headed by Jana Schulz has built up almost 800 beds, outpatient services and day care facilities in Lower Saxony and North Rhine-Westphalia to enable elderly people and those in need of care to lead largely autonomous, self-determined and safe lives. — The Cartel Office has not yet given its approval for the takeover. KORIAN has a large European network and at the same time relies on the local anchoring of the facilities in their communities and neighborhoods.
KORIAN Germany is part of the KORIAN Group, Europe’s leading network of care homes and, with over 235 care facilities and outpatient services, Germany’s largest private operator of care and nursing services. The Qualivita Group operates more than 15 care facilities in Germany with a total of around 1,000 beds, including inpatient and outpatient facilities as well as day care centers.
In order to take over the care division of the Qualivita Group, extensive restructuring measures were necessary between the signing of the purchase agreement and its closing, which were implemented, among other things, by means of a combination of share and asset deal.
