Frankfurt a.M. — McDermott Will & Emery advised SIGNA Sports United GmbH (SSU) in connection with its merger with Yucaipa Acquisition Corporation (YAC), a publicly traded special purpose acquisition company (SPAC). The merger also includes the acquisition of the British online bicycle retailer Wiggle/CRC Group.
In the course of this so-called De-SPAC transaction, the group structure of SSU will be fundamentally changed. Upon completion of the transaction, SSU’s shares will be traded on the NYSE; SSU, as well as the publicly traded TopCo, will have their corporate headquarters in Berlin.
A McDermott team led by Dr. Kian Kauser and Sebastian Bonk advised SIGNA Sports United GmbH and its majority shareholder SIGNA International Sports Holding GmbH on the corporate and tax structuring of the group as well as on the acquisition of Wiggle/CRC Group.
