Munich — Hörmann Digital Beteiligungs GmbH, a Hörmann KG company managed by Thomas Martin and Christoph Hörmann, has acquired a significant stake in the listed company ORBIS AG. In addition, Hörmann Digital Beteiligungs GmbH has acquired the right to expand its shareholding in the future.
In a first step, Hörmann Digital Beteiligungs GmbH acquired a total of approximately 23% of the shares of ORBIS AG from several shareholders and at the same time fully subscribed to a cash capital increase of ORBIS AG, which was issued under exclusion of shareholders’ subscription rights. This results in a total shareholding of around 28%. The Hörmann Group and ORBIS AG have also signed a cooperation agreement for the expansion of existing business relationships in the field of digitization. — The share purchases are currently still subject to approval by the German and Austrian antitrust authorities.
Furthermore, Hörmann Digital Beteiligungs GmbH has obtained the right from the currently largest shareholder of ORBIS AG, GMV AG, to acquire the latter’s remaining shares in ORBIS AG, around 15%, in the future, thus increasing its shareholding to a total of 43%.
In the course of the transaction, Hörmann Digital Beteiligungs GmbH was advised by a specialized team of Rödl & Partner with regard to legal issues concerning the acquisition of the shareholdings and capital market obligations. Partner Dr. Oliver Schmitt (Munich) led the comprehensive legal (purchase) contract drafting and negotiation support from the initial discussions to the signing of the contract, assisted in the transaction preparation and coordination and advised on all capital market law issues.
