Munich — SKW Schwarz has advised the Dutch Azerion Group N.V. on the acquisition of Munich-based Vlyby Digital GmbH. The acquisition was completed at the end of Q3 2022.
Azerion will pay approximately half of the purchase price in cash (combination of upfront and deferred payment) and in the form of Azerion common shares; 785,540 treasury shares will be transferred to the selling shareholders.
Azerion is a publicly traded technology and data company headquartered in Amsterdam. Founded in 2014, Azerion serves publishers, advertisers and game developers around the world with technology solutions to automate the buying and selling of digital advertising, among other things.
Vlyby enables website operators, online marketers and digital publishers to simplify and self-manage their Programmatic Video Advertising processes across all devices. From its Munich base, the company serves leading German digital marketers such as United Internet Media, Burda Community Network, BurdaForward and Funke Mediengruppe, among others.
SKW Schwarz had already advised Azerion on the acquisition of Hamburg-based games developer Whow Games in 2021.
